Assistant Corporate Secretary II

FUNCTION:

Responsible for supporting the bank and its subsidiaries from a corporate secretarial function.  The Assistant Corporate Secretary II coordinates all aspects of board and committee meetings as well as preparation and follow up for the Annual Meeting of Stockholders.

 

POSITION RESPONSIBILITIES:

Assist Corporate Secretary, Shareholder Relations Administrator and Senior Management in the preparation for board and committee meetings and Annual Meeting of Stockholders.

Review and preserve corporate documents, including minutes, bylaws, charters and stock certificates. 

Lead the effort to respond to ongoing requests for corporate documents.

Prepare, review and circulate Consents of Directors and other similar documents.

Maintain corporate minute books.

Maintain officer and director lists for numerous corporate entities.

Respond to requests for information in connection with M&T’s regulatory examination and continuous monitoring process, as well as internal and external audit requests.

Prepare drafts of meeting minutes.

Draft and update procedures relating to the work of the Office of the Corporate Secretary.

Retrieve and research historical documents as needed.

Perform corporate governance-related research as needed.

Prepare and submit FR Y-6 (Annual Report of Holding Companies) annually and FR Y-10 (Report of Changes in Organizational Structure) reports with the Federal Reserve Bank of New York.

Review, update and submit the Disaster Recovery and Business Continuity Program.

Act as a back-up for the Corporate Secretary and Shareholder Relations Administrator.

Adhere to applicable compliance/operational risk controls in accordance with Company or regulatory standards and policies.

Promote an environment that supports diversity and reflects the M&T Bank brand.

Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.

Complete other related duties as assigned.

 

MINIMUM QUALIFICATIONS REQUIRED:

Bachelor’s degree plus 3 years’ experience in a legal or corporate environment, or in lieu of a degree, a combined 7 years’ higher education and/or experience, including a minimum of 3 year’ experience in a legal or corporate environment.

Ability to preserve and protect confidential information.

Excellent knowledge of Word, Excel, Outlook, Adobe and other departmental software.

Excellent written and verbal communication skills.

Strong proofreading skills.

Strong interpersonal skills.

Strong investigative and research skills.

Strong attention to detail and organizational skills.

Ability to apply judgment and initiative in making day-to-day decisions.

 

IDEAL QUALIFICATIONS PREFERRED:

Corporate paralegal experience.

Corporate secretarial experience.
