Fiduciary Counsel

Buffalo NY, Wilmington, DE or NYC, NY


 

The successful candidate will be located in (i) Buffalo, NY (ii) New York City, or (iii) Wilmington, Delaware, and will be providing primary legal counsel and support to Wilmington Trust’s Wealth Management division (“WM”), which offers fiduciary, investment management, custody, family office, and private banking products and services.  More specifically, the successful candidate will assist in:

 

Providing day-to-day legal advice and support for legal issues and risks that arise in the WM division, including strategic projects, new and existing WM products and services, WM marketing pieces, WM procedures and forms and WM client agreements and disclosures.

 

Serve as Private Banking’s primary contact in Legal Department for all legal issues with respect to consumer and commercial lending transactions and deposit accounts, approve and oversee outside legal counsel used by Private Banking to close credit transactions

 

Partnering with the organization’s compliance, risk and audit groups on WM division matters;  keeping senior management and other personnel up to date on pertinent legal and regulatory developments and risks.

 

Serving as legal counsel on appropriate committee meetings for the WM division. 

 

Draft and negotiate WM standard client agreements and non-disclosure agreements; draft WM disclosures

 

Identifying legal risks associated with WM products and services; collaborating with the business to develop plans to mitigate such risks with a view towards the risk appetite of the organization 

 

Working cooperatively with primary subject matter experts in the Legal Division

 

Research and issue legal opinions with respect to WM business and regulatory matters (e.g. conflicts of interest, fiduciary obligations, etc.)

 

Partnering with other areas of the organization on WM matters

 

Minimum Qualifications

J.D. degree required.  Licensed to practice law in New York or Delaware (or ability to obtain an in-house counsel license in New York or Delaware, as applicable).  

Minimum of 4 years of relevant experience .

Ability to handle multiple tasks, prioritize work in a deadline-intensive environment

Ability to understand and integrate details of business/operational/systemic environment in applying legal and policy requirements

Experience in trust and fiduciary law, wealth management and consumer and commercial lending (including substantive background with federal and state consumer financial services laws)

Experience identifying, evaluating and escalating legal risk issues

Strong communication skills to deal with internal and external constituencies, including senior business leaders; external counsel; regulatory officials; risk, compliance and audit counterparts at the organization

Exceptional written and verbal communications skills; ability to communicate and relate at all levels of the organization

Strong interpersonal and teamwork skills and ability to influence through collaboration
