Mergers & Acquisitions Manager One M&T Plaza Buffalo, NYBasic Function The Corporate Finance group is responsible for evaluating the financial and business implications of acquisitions and other strategic opportunities for M&T, following a disciplined investment approach with the objective of maximizing long-term shareholder value.  The M&A manager will be responsible for overseeing financial analysis and execution of mergers and other strategic transactions for the bank and subsidiaries.
Essential Position Responsibilities Coordinating evaluation of potential acquisition opportunities, including due diligence efforts, involving extensive interaction with groups throughout the bank
Conducting valuation analysis regarding acquisition opportunities using discounted cash flow analysis, comparable analysis, and other financial tools
Presenting recommendations and analysis regarding M&A prospects to head of Corporate Finance, executive management, and Board of Directors, as appropriate
Evaluating the pro forma impact of acquisitions on actual and forecasted capital levels
Supporting senior management in communications with external constituencies regarding mergers and acquisitions and capital actions, including communication with investment bankers, investors, rating agencies, and regulatory authorities
Overseeing and developing a team of managers and financial analysts with responsibility for the bank’s M&A activities
Nature and Scope The position requires the capability to coordinate multiple complex projects simultaneously, interact with business units throughout the organization, and present the results and status of various initiatives effectively to senior management and the Board of Directors.
Shaping Strategy - the capacity to guide analysis and discussion, and influence the outcome for key M&A decisions.  Negotiating terms and contracts associated with transactions.
Leadership Versatility - ability to effectively work with all levels of employees at the bank including executive management.
Attracting, Retaining, and Developing Talent - provide feedback to direct reports and help with career development as well as having solid track record for recruiting and hiring.
Decisiveness - capacity to work in a fast paced environment, handle multiple projects simultaneously and manage resources appropriately.
Strong Presentation and Communication - ability to communicate important information and focus on strategic importance and financial viability for all levels of management.
The position has direct contact with other internal personnel at all levels including management group and business line executive and senior management.
Supervisory Responsibility
This position is responsible for managing 3-5 FTEs.
Minimum Qualifications Required: Master’s degree in Finance, Accounting or Business Administration, or in lieu of degree, the equivalent in work experience
10 years of relevant corporate finance experience including experience evaluating mergers and acquisitions
3 years of management experience with proven abilities to develop and motivate teams
Advanced financial modeling skills
Excellent PC skills with a solid working knowledge of Excel, Powerpoint, and other department software
Requires excellent, demonstrated presentation and written communication skills
Strong interpersonal skills necessary for relationships within organization and with external constituencies
Thorough knowledge of project management concepts and application
Ideal Qualifications Preferred: Prior experience related to M&A such as a corporate development or investment banking role would be beneficial
