FUNCTION: Provide counsel and advice on general law matters. The incumbent will work collaboratively with other members of the Legal Division management and staff, as well as outside counsel and legal service providers.  This role will be responsible for assisting the General Counsel with overseeing overall operational strategy and effectiveness, the financial components of the legal division, information technology and human capital initiatives in the Legal Division.    POSITION RESPONSIBILITIES: Perform a variety of more complex or specialized legal activities in accordance with the established standards M&T Bank Corporation’s legal department to protect the organization's reputation and business interests and help ensure it complies with all relevant laws and regulations. Provide legal advice within area of expertise to area managers to ensure their activities, policies, business practices, and transactions comply with all relevant laws and regulations. Make recommendations to senior management on how to respond to legal issues or proposed changes in laws and regulations. Review and approve legal contracts, letters of agreement, and other documents related to a variety of trade, commercial, financial, and operational matters to protect the organization's legal and business interests. Develop and execute short-term and long-term operational initiatives and projects, as delegated by the General Counsel. Develop and maintain reports and metrics to help with the operational management of the Legal Division. Assist in the development, support and implementation of  the Legal Division’s mission and strategic plans and initiatives under the direction of the General Counsel. Effectively manage the planning process to align legal support with business needs and to determine legal support staffing plans with leadership and spend needs in the Legal Division acting as the primary liaison with Finance partners. Evaluate the Legal Division resources, processes, systems and technology related to matter management, knowledge management, eDiscovery, document review management, invoicing management, litigation holds, and legal intake management.  Implement appropriate improvements and enhancements and manage Legal Division information and technology projects. Partner with our invoicing systems administrator, Tymetrix, to implement appropriate improvements and enhancement. Lead the law firm and third-party vendor management programs, with the aim of reducing expense and maximizing value.  Conducting Requests for Proposals (RFPs) as well as develop, track and improve efficiencies and cost controls of resources, processes, systems regarding Outside Counsel and Vendor Management. Implement and maintain procedures for conflict of interest waiver requests. Implement and maintain the bank’s Outside Counsel policy, procedures, and manual as well as contract standards.    Liaise with business lines to evaluate and implement business line procedures for compliance with that Policy.  Approve business line procedures, as required by the Policy. Implement and maintain the bank’s other legal policies and liaise with business lines to evaluate and implement business line procedures for compliance with those Policies. Approve business line procedures, as required by those Policies. Adhere to applicable compliance/operational risk controls in accordance with Company or regulatory standards and policies. Promote an environment that supports diversity and reflects the M&T Bank brand. Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable. Complete other related duties as assigned. Exercise usual authority of a manager concerning staffing, performance appraisals, promotions, salary recommendations, performance management and terminations.  
Nature and Scope Subject to the supervision and direction of the General Counsel, the position requires a high degree of initiative and independence in performing position responsibilities.  The position requires interaction with Legal Division personnel, internal business clients, outside law firms, vendors and other legal service providers.   MANAGERIAL/SUPERVISORY RESPONSIBILITY: May have one or more direct reports   MINIMUM QUALIFICATIONS REQUIRED: J.D. Degree Minimum of 7 years of proven and progressive corporate legal experience in a law firm and/or corporate environment. New York State or applicable state bar admission. Proven ability to define legal issues, evaluate legal risks, and offer creative and practical solutions.
Strong negotiation, interpersonal, organizational skills, as well as, excellent verbal and written communication abilities. Ability to make quick innovative decisions in order to resolve problems. Creativity, flexibility and willingness to embrace change and to work effectively in multi-functional teams. Leadership skills and strong ethical standards.   IDEAL QUALIFICATIONS PREFERRED: 10 years of relevant work experience within a financial services legal division.  Strong verbal and written communication skills.  Strong analytical and data skills.  Creative problem-solving skills.
