Treasury & ISDA Attorney

The successful candidate will be located in Buffalo, New York.  We also may consider New York City, or Wilmington, Delaware.  The candidate will be supporting the Treasury Group of M&T Bank and its affiliates (“M&T”).  The candidate will be experienced with drafting, reviewing and negotiating derivative and ISDA agreements, as well as advising on banking and securities regulations affecting the Treasury Group of a bank. 


More specifically, the successful candidate will:  


Provide legal support to the Treasury Group in connection with capital markets transactions associated with issuances of debt securities under the M&T Bank Note Program, as well as securitizations and other securities issuances intended to meet M&T’s liquidity and funding needs


Support the various liquidity and funding collateral loan programs managed by the Treasury Group, including the Federal Reserve Borrower-in-Custody (BIC) and Federal Home Loan Bank programs


Support Treasury Operations providing legal advice on posting of collateral for government deposits and derivative transactions


Draft, review and negotiate derivative and ISDA agreements entered into between M&T and institutional counterparties and/or other end-users, such as ISDA master agreements and other documentation for credit derivatives, interest rate swaps, foreign exchange (FX) swaps, Master Securities Forward Transaction Agreements, Master Repurchase Agreements and mortgage backed securities


 Provide legal advice to the Treasury Group with respect to services provided by the Treasury Group to customers and third parties, such as FX services and brokered deposit services, including advising on relevant laws and regulations, drafting and reviewing customer agreements and disclosures and advising on product development


Advise on banking and securities regulations affecting a treasury and finance group of a bank, such as derivatives regulations, ISDA protocols, FDIC assessment requirements, FDIC large bank resolution requirements, Regulation D reserve requirements, brokered deposit requirements, Volcker Rule requirements and liquidity coverage ratio (LCR) requirements


Provide legal advice on the Bank Owned Life Insurance (BOLI) program


Support counterparty risk management functions relating to derivatives


Identify, evaluate and escalate legal and regulatory risks affecting M&T relating to the Treasury Group of M&T


Provide day-to-day advice with respect to substantive matters escalated to Legal with respect to the Treasury Group of M&T


Oversee outside counsel retained to advise on matters for the Treasury Group of M&T


Partner with M&T’s compliance, risk and audit groups on Treasury Group matters for M&T


Keep senior management and other personnel up to date on pertinent legal and regulatory developments, including legal risks


Minimum Qualifications

J.D. degree required. 

Licensed to practice law in New York or Delaware (or ability to obtain in-house counsel license in New York or Delaware, as applicable)

7 years of proven and progressive corporate legal experience in a law firm and/or corporate environment

Strong negotiation, interpersonal, organizational skills, as well as, excellent verbal and written communication abilities

Ability to handle multiple tasks, take on new responsibilities and prioritize work in a deadline-intensive environment; experience in leading and facilitating change

Ability to understand and integrate details of business/operational/systemic environment in applying legal and policy requirements

Experience in derivatives and ISDA agreements

Strong desire to support the identification, evaluation and escalation of legal risk issues

Strong communication skills to deal with internal and external constituencies, including the senior business leaders; outside counsel; regulatory officials; risk, compliance and audit counterparts at the organization; counterparts at other companies; and industry representatives

Exceptional written and verbal communications skills; ability to communicate and relate at all levels of the organization

Strong interpersonal and teamwork skills and ability to influence through collaboration

Demonstrated experience in leading others, both through direct relationships and/or indirectly (influencing without direct authority)
