Job Description

Basic Function:
Responsible for managing the process to review third party contracts and bring them in-line with M&T’s Contracts Policy, Third-Party Risk Management Program, and all relevant regulatory requirements and guidance. Works closely with Legal, Third-Party Risk Management, Strategic Sourcing, and the Business to review, track and remediate gaps in third party contracts, with a priority on the bank’s high risk contracts. 

Job Responsibilities:
Work closely with Legal, Third-Party Risk Management, various Subject Matter Experts, and the Business to review, track and remediate gaps in third party contracts, with a priority on the bank’s high risk contracts. 
Partner with Strategic Sourcing to identify and capitalize on opportunities or points of leverage with the third party as contracts are being negotiated. Identify and execute on tactical and strategic opportunities to consolidate contracts, reduce cost, improve productivity/quality of services, and enhance key contractual terms.
Educate the Business on third-party contract requirements and guide them through the review, analysis, and red-lining of contracts that need to be enhanced or amended. 
Partner with Legal to build and enhance standard contract templates, contract review checklists, and other necessary documentation and training materials relating to contract management.
Escalate contractual concerns to Third-Party Risk Management to synchronize remediation with the third-party risk review and governance processes.
Develop and maintain procedures, supporting documentation, and reporting to provide a reference source for ensuring consistency of departmental activities and to keep senior management apprised of status, problems and/or delays. 
Continue to build and enhance a central contract repository for the organization.  Maintain a complete record of executed contracts and any amendments, addenda, exhibits, schedules, and other attachments relevant to contracts.   
Stay current with all regulatory requirements and changes, as well as industry best practices as they relate to M&T Bank’s Third-Party Risk Management Program and contracts management. Identify gaps and recommend process and program improvements.
Promote an environment that supports diversity and reflects the M&T Bank brand.
Maintain M&T internal control standards, including timely implementation of internal and external audit points together with any issues raised by external regulators as applicable.
Complete other related duties as assigned.

Minimum Qualifications Required:
Bachelor’s degree and a minimum of 3 years’ proven financial and/or business experience, or in lieu of a degree, a combined minimum of 7 years’ higher education and/or work experience, including a minimum of 3 years’ proven financial and/or business experience.
Proficiency with personal computers as well as pertinent mainframe systems and software packages, including those specific to procurement, as well as spreadsheet, presentation and database software.
Excellent verbal and written communication skills.
Ability to interact with all levels of management.
Strong presentation skills

Preferred Qualifications: 
Advanced degree such as a JD (Juris Docter) or an MBA (Master’s degree in Business Administration).
Prior experience with third party contract review.
